Crate Culture Co. Terms of Service

These Terms of Service (“Agreement”) are a legally binding agreement between Crate Culture Co. and the person or entity (“you” and “your”) using the Crate Culture Co. website, products, and membership services available at cratecultureco.com (collectively, the “Services”).

By accessing or using the Services, or by purchasing a membership, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Services.

You must be at least 18 years old to purchase or use a membership.

Membership Accounts

To purchase a membership, you may be required to provide certain information, including your legal name, billing address, shipping address, email address, and payment information. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately.

Membership Plans and Billing

Crate Culture Co. offers the following membership plans:

• The Nomad — Month-to-month membership at $29.99 per month, billed automatically until canceled.

• The Seasonal Edit — 3-month prepaid membership at $84.99, billed in full at the time of purchase.

• The Resident — 6-month prepaid membership at $161.99, billed in full at the time of purchase.

• The Archivist — 12-month prepaid membership at $287.99, billed in full at the time of purchase.

By purchasing a membership, you authorize Crate Culture Co. and its payment processors to charge your selected payment method for the applicable membership fee, plus any taxes, shipping charges, and other amounts disclosed at checkout.

Automatic Renewal

Monthly memberships automatically renew each month unless canceled before the next billing date. By purchasing a monthly membership, you authorize recurring charges to your payment method until you cancel.

Prepaid memberships do not automatically renew during the prepaid term unless you choose to renew or purchase a new membership at the end of the term.

We may provide renewal reminders or billing notices as required by applicable law.

Cancellation

You may cancel your monthly membership at any time before the next billing date to avoid future charges. Cancellation will stop future recurring payments, but no partial refunds or credits will be issued for any billing period already started.

Prepaid memberships cannot be canceled for a refund once the term has begun. If you cancel a prepaid membership before the end of its term, you will continue to have access through the end of the prepaid period, but no refund or credit will be issued.

Refund Policy

All sales are final unless otherwise stated by Crate Culture Co. Because our products may be limited edition, custom-printed, or made in small runs, we do not offer refunds or returns except where required by law or in the event of a confirmed defect or shipping error.

If a product arrives with a manufacturing defect, we will make reasonable efforts to replace it. If a replacement is not available, our sole obligation and your sole remedy will be limited to a refund of the applicable product amount, at our discretion and as permitted by law.

Shipping and Delivery

Products will be shipped to the address you provide at checkout. Shipping times are estimates only and are not guaranteed.

Risk of loss and title for physical products transfer to you when the product is delivered to the carrier for shipment from our facility or from the facility of our third-party fulfillment provider.

Membership Content and Availability

We may change, update, or discontinue any product, design, feature, or membership offering at any time. Membership benefits, product availability, and offerings may vary by plan or by month.

We do not guarantee that any specific item, design, or product will be available at any particular time.

Intellectual Property

All content on the Services, including text, graphics, logos, designs, images, product names, and branding, is owned by or licensed to Crate Culture Co. and is protected by intellectual property laws.

You may not reproduce, distribute, modify, display, or use any content from the Services without our prior written permission.

Prohibited Use

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, or interfere with our website, operations, or other users.

We reserve the right to suspend or terminate your access to the Services if we believe you have violated these Terms or engaged in fraudulent, abusive, or otherwise harmful conduct.

Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CRATE CULTURE CO. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, or free of defects.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CRATE CULTURE CO., ITS OWNERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO CRATE CULTURE CO. IN THE NINETY (90) DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law rules.

Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days by emailing hello@cratecultureco.com with the subject line: ATTENTION: DISPUTE RESOLUTION.

If the dispute cannot be resolved informally, any claim will be resolved by binding arbitration before a single arbitrator in Plymouth County, Massachusetts, except where prohibited by law.

Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised “Last Updated” date. Your continued use of the Services after any changes are posted means you accept the updated Terms.
